These Terms and Conditions ("Terms") govern the access to and use of the knowledge platform (the “Platform”) developed and operated by Stichting ZEDhub and Vereniging van Waterbouwers, available via www.yelloworange.nl, including its integrated AI chat functionality (the “AI Tool”). By accessing or using the Platform, you agree to be bound by these Terms.
1. Purpose and Scope
The Platform is designed to facilitate knowledge sharing and innovation within the dredging sector. It provides a data-sharing platform, a search engine, and an AI-powered chat tool to assist users in navigating content and exploring technical and sectoral topics.
2. Eligibility and Access
Use of the Platform is intended for professionals, researchers, and stakeholders in the dredging and maritime sectors. By accessing the Platform, you represent that users are legally permitted to do so and agree to comply with all applicable laws and regulations. Stichting ZEDhub, Vereniging van Waterbouwers, and Yellow Orange BV shall implement appropriate processes for account creation, modification, and deactivation. Access shall be limited to authorized users, and users leaving their organization shall have access revoked in a timely manner.
3. License Term and Renewal
The customer or subscribing organization purchasing access to the Platform (the “Customer”) is granted a license to access and use the Platform for the duration specified in the applicable order form, subscription agreement, or other written confirmation issued by Yellow Orange BV (the “Initial Term”).
Unless otherwise agreed in writing, the subscription and corresponding license shall automatically renew for successive periods equal to the Initial Term (each a “Renewal Term”).
Either party may terminate the subscription effective at the end of the Initial Term or any Renewal Term by providing written notice at least thirty (30) days prior to the end of the then-current term, unless a different notice period has been agreed in writing.
If no timely notice of termination is given, the subscription and corresponding license shall automatically continue for the next Renewal Term under the same terms and conditions set out in these Terms, unless otherwise agreed in writing.
4. User Responsibilities and Information Sharing
Users are solely responsible for the content and information they upload, submit, or share on the Platform.
Users must ensure that any information they share is:
- accurate, and lawfully permitted to be disclosed.
- free of third-party rights, unless the user has explicit permission to share such content.
Stichting ZEDhub, Vereniging van Waterbouwers, and Yellow Orange BV are not liable for any consequences arising from the sharing of information by users, including intellectual property or confidentiality violations.
Stichting ZEDhub, Vereniging van Waterbouwers, and Yellow Orange BV shall implement appropriate access controls and approval processes, to ensure that confidential content uploaded by users is handled securely and only accessible to authorized users.
5. Use of the AI Chat Tool
The Platform includes an AI-powered tool that provides automated responses to user queries based on publicly available and user-provided information.
The AI Tool is intended to support knowledge exploration, but:
- It may generate inaccurate or outdated information.
- No rights or decisions should be based solely on its output.
- The AI Tool does not provide legal, professional, or technical advice, and should not be relied upon as such.
By using the AI Tool, users acknowledge that any results are used at your own risk and responsibility.
6. Intellectual Property
Stichting ZEDhub, Vereniging van Waterbouwers, and Yellow Orange BV are not responsible for verifying the origin, accuracy, or legality of shared information, and disclaim any liability related to the sharing of such content.
Any information they share on the Platform shall be accessible and viewable only by authorized members of the relevant workgroup. Other Platform users or unrelated persons shall not have access to such information. By uploading information to the Platform, users confirm that the content is lawfully permitted to be shared and does not violate any confidentiality or ownership obligations.
Users must ensure that any content or documents they upload to the Platform are free of intellectual property (IP) rights held by third parties, unless they have obtained explicit permission to share such content.
Users retain ownership of the content they contribute. The Platform is granted a limited, non-exclusive, royalty-free license to use such content solely for the purpose of enabling the functionality of the Platform within the specific workgroup environment. The content shall not be shared, displayed, or distributed beyond the authorized workgroup members.
7. Liability and Disclaimers
The Platform is provided “as is” and “as available,” without any express or implied warranties.
Stichting ZEDhub, Vereniging van Waterbouwers, and Yellow Orange BV disclaim all liability for:
- Errors, inaccuracies, or omissions in the content or AI Tool responses;
- Any loss or damage resulting from your use of, or reliance on, the Platform;
- Technical issues, service interruptions, or unauthorized access to data.
The Platform may contain links to third-party websites; these are provided for convenience only and do not imply endorsement.
To the extent permitted by law, Stichting ZEDhub, Vereniging van Waterbouwers, and Yellow Orange BV shall not be liable for indirect or consequential losses arising from the use of the Platform. However, nothing in these Terms excludes or limits liability in cases of gross negligence, willful misconduct, or breach of confidentiality obligations.
8. Privacy and Data Protection
Access and usage of the Platform is also subject to the Privacy Policy of www.yelloworange.nl.
9. Data Not Used for AI Training
The Platform shall not use, store, or otherwise process any user-provided data or content for the purpose of model training, product improvement, or any activity beyond the scope of the Platform.
10. Changes to Terms
We reserve the right to amend these Terms at any time. Continued use of the Platform after such changes implies your acceptance of the revised Terms.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes shall be submitted to the competent court in the Netherlands.
